1. INTRODUCTION
Welcome to MoonPlex, a subscription-based and transactional video-on-demand service that allows users to access movies, series, shows, web series, music videos, documentaries, and other audio-visual content ("MoonPlex Content") streamed over the Internet to certain internet-connected TVs, computers, smartphones, tablets, and other devices ("MoonPlex Ready Devices"). The service is provided by MoonPlex (referred to as "MoonPlex", "we", "us", or "our").
These Terms of Use govern your use of our service. "MoonPlex Service", "our service", or "the service" means all the services provided by MoonPlex for discovering and watching MoonPlex Content, including all features and functionalities, recommendations and reviews, the website and user interfaces, as well as all content and software associated with our service.
The following terms ("Terms") govern your access and use of www.moonplex.com and/or the mobile application for Android and iOS devices, Android TV, Amazon Fire TV, Smart TVs, and other devices accessing the MoonPlex services (collectively "Services").

By accessing and using our Services, you hereby agree to and accept these Terms in full. If you disagree or do not accept any of the Terms, you must not use our Services.
If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. GENERAL TERMS OF USE

We reserve the right to restrict access to areas of our Website or Service at any time and for any reason at our sole discretion.
3.4 Restrictions of Usage

Use our Website and App in any way that causes damage or impairs performance, availability, or accessibility

3.7 Fair Use Notice
The copyright laws recognize "fair use" of copyrighted content for purposes including criticism, comment, news reporting, teaching, scholarship, or research. MoonPlex respects the intellectual property rights of others and expects its users to do the same. 4. MEMBERSHIP, SUBSCRIPTIONS, BILLING, AND CANCELLATION
4.1 Membership
Your MoonPlex membership will continue and automatically renew until terminated. To use the MoonPlex service, you must have internet access, a MoonPlex Ready Device, and provide one or more valid Payment Methods. To become a member, you must be at least 18 years of age or have reached the age of majority in your jurisdiction. Minors may use the service only under the supervision of a responsible adult.
4.2 Transactional Video on Demand (TVOD)
In addition to subscription-based services, MoonPlex may provide selected content on a Transactional Video on Demand (TVOD) basis, allowing users to rent or purchase individual movies, series, or special events for a one-time fee.
Key TVOD Terms:
You are granted a limited, non-exclusive, non-transferable license to view the specified content for personal, non-commercial use
TVOD content can only be accessed through the account used for purchase
Access is limited to a specified period (e.g., 30 days from purchase, 48 hours from first playback)
All TVOD purchases are final and non-refundable except in cases of technical issues
Purchasing TVOD content does not confer permanent ownership
Unauthorized sharing or redistribution is strictly prohibited
4.3 Ad-Supported Subscription Plan
MoonPlex may offer ad-supported subscription plans where the Platform includes third-party advertisements. MoonPlex disclaims responsibility for content or services advertised on external sites. Interactions with advertisers are solely between you and the advertiser.
4.4 Free Plan
Your MoonPlex subscription may start with a free trial period as specified in the subscription plan you select. Free trial eligibility is determined by MoonPlex at its sole discretion. Free trial can be taken only once per account. We will not charge your Payment Method at the end of the free trial period unless you renew or upgrade before the trial ends.
4.5 Promotional Offers
From time to time, we may provide special promotional offers, plans, or memberships ("Offers"). Eligibility is determined solely at our discretion. We reserve the right to revoke any Offer if you do not meet eligibility criteria.
4.6 Subscription Plans
You can find details about your subscription on our website or app by clicking "Subscribe Now/View Plans" or accessing the menu on the mobile app.
4.7 Billing Cycle
The subscription fee and any other charges (including taxes and transaction fees) will be charged periodically to your Payment Method on the calendar day corresponding to the commencement of the paying portion of your subscription if auto-renewal is activated. Visit your MoonPlex "Settings" option to see your next payment date.
4.8 Payment Methods
You authorize us to charge any Payment Method linked to your account. If a payment fails, we may suspend your access until we successfully charge a valid Payment Method. Some Payment Methods may incur additional fees (e.g., foreign transaction fees). MoonPlex is not liable for any applicable taxes upon purchase or use of the Services.
4.9 Auto-Renewal & Cancellation
By subscribing to MoonPlex, you agree to automatic renewal billing. Your subscription will automatically renew at the end of each billing period unless you cancel at least 24 hours before the renewal date.
To cancel: Contact MoonPlex Support via email at support@moonplex.com or through your account settings. Failure to cancel in time will result in automatic charging of the next subscription fee, which is non-refundable.
4.10 Refund Policy
Subject to applicable law, all payments are final and non-refundable. We do not provide refunds for partial use, change of mind, or unused content. Refunds will only be considered for duplicate transactions or erroneous charges upon verification. Approved refunds will be processed within 10-15 business days.
4.11 Price Changes
We reserve the right to modify subscription plans and adjust pricing. We will provide at least 30 days' notice before new pricing takes effect. If you do not agree to revised pricing, you may cancel before changes become effective.
5. MOONPLEX SERVICE
5.1 Personal Use
The MoonPlex service and any content accessed are for your personal and non-commercial use only. During your subscription, we grant you a limited, non-exclusive, non-transferable right to access the service.
5.2 Geographic Limitations
You may access MoonPlex content primarily within the country where you purchased your subscription. Content availability varies by geographic location and is subject to change.
5.3 Service Changes
MoonPlex regularly updates the service, including the content library. We continually test and change various aspects of our service, including website, user interfaces, and promotional features.
5.4 Usage Restrictions
You agree to use the MoonPlex service in accordance with all applicable laws. You agree not to archive, reproduce, distribute, modify, display, perform, publish, license, create derivative works from, or sell content from the MoonPlex service except as explicitly authorized.
5.5 Device Compatibility
MoonPlex is committed to providing an optimal streaming experience across a wide range of devices, including web browsers, Android (version 6.0 and up), iOS (version 13.0 and up), Android TV, and select Smart TV models (2020 and later).
You acknowledge and agree:
Functionality may vary based on device hardware, software, and manufacturer policies
MoonPlex makes no guarantees of consistent performance across all devices
You are responsible for ensuring your device meets minimum system requirements
Content display quality may vary based on location, bandwidth, and internet speed
You are responsible for all internet access charges
5.6 Software
The MoonPlex software is developed by or for MoonPlex and may vary by device and medium. By using our service, you agree to receive updated versions of MoonPlex and related third-party software automatically.
5.7 Third-Party Applications
MoonPlex may offer services or products provided by third parties. We are not responsible for the availability or content of these external resources. You should review the terms and privacy policies of third-party applications.
6. PASSWORDS AND ACCOUNT ACCESS
6.1 Account Security
You are responsible for any activity that occurs through your MoonPlex account. You must maintain control over devices used to access the service and not reveal your password or payment details to anyone.
6.2 Multiple Users
You may allow multiple users to access your MoonPlex account, but you are responsible for ensuring all users comply with these Terms. You are responsible for their actions and any charges they may incur.
6.3 Account Termination
We may terminate or suspend your account immediately, without prior notice, for conduct that violates these Terms or is harmful to MoonPlex or other users.
7. PRIVACY AND DATA PROTECTION
7.1 Privacy Policy
Our Privacy Policy, which describes how we collect, use, and disclose your information, is incorporated into these Terms by reference.
7.2 Children's Privacy
MoonPlex does not knowingly collect personal information from children under 18. If we learn we have collected personal information from a child under 18, we will delete it immediately. If you believe a child has provided us with personal information, contact us at privacy@moonplex.com.
7.3 Access to Your Information
You have the right to access and update your personal information at any time through your account settings.
8. DISCLAIMERS AND LIMITATIONS OF LIABILITY
8.1 Disclaimer of Warranties
The MoonPlex service and all content and software associated with it are provided "as is" and "as available" without warranty of any kind. MoonPlex does not guarantee uninterrupted or error-free service.
8.2 Limitation of Liability
To the fullest extent permitted by law, MoonPlex and its officers, directors, employees, and licensors shall not be liable for any indirect, incidental, special, punitive, or consequential damages arising out of your use of the service. Our aggregate liability shall not exceed the amount paid by you for the service in the twelve (12) months preceding the event giving rise to the claim.
8.3 Indemnification
You agree to indemnify and hold harmless MoonPlex and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses arising out of your use of the service or violation of these Terms.
8.4 Class Action Waiver
To the extent permitted by law, you and MoonPlex agree that any claims must be brought individually and not as part of a class or representative action.
9. DISPUTE RESOLUTION AND GOVERNING LAW
9.1 Governing Law
These Terms of Use shall be governed by and construed in accordance with the laws of Bangladesh.
9.2 Dispute Resolution
All disputes relating to these Terms shall be settled amicably within 30 days. If unresolved, the dispute shall be referred to arbitration in accordance with the Arbitration Act of Bangladesh. The place of arbitration shall be Dhaka, and the decision of the Arbitral Tribunal shall be final and binding.
9.3 Notice of Claim
To initiate a claim, you must submit a written Notice of Claim to MoonPlex's Legal Department via email at legal@moonplex.com. The Notice must detail the nature of the claim and the relief sought. Both parties will engage in good faith discussions for 30 days before pursuing arbitration.
10. MISCELLANEOUS
10.1 Changes to Terms of Use
MoonPlex may change these Terms from time to time. Changes are effective immediately for new users and upon notice for existing users. Your continued use after changes constitutes acceptance.
10.2 Severability
If any provision is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
10.3 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and MoonPlex regarding your use of our service.
10.4 Waiver
No waiver by MoonPlex of any term shall be construed as a continuing waiver or waiver of any other term.
10.5 Assignment
You may not assign these Terms without our prior written consent. MoonPlex may assign these Terms at its discretion without restriction.
10.6 Notices
MoonPlex may provide notices by email, regular mail, or postings on the service. For email notices, the date of receipt is deemed the date of transmission.
